R1SEO is hereafter known as the provider. The contracting party is hereafter known as the client.
The client accepts that the provider is yielding a contracted service and not an employee, worker, agent or partner of the client.
1 Responsibility For Rankings.
The provider has zero responsibility for client rankings. Whilst the provider undertakes to enhance rankings within the spectrum of agreed work, the client accepts that third party systems, such as Google, Bing and Yahoo are entities of their own over which the provider has zero control. They can change their ranking systems at any point in time and as such negate any prior ranking efforts.
In addition to this, the client also accepts that while they are engaging the provider in SEO and content related services, that other organizations and people are also engaging consultants, agencies and other organizations for content and SEO services.
As such the client accepts that all SEO work is undertaken in a dynamic field of operations, where the search engine algorithms are constantly changing, and other website owners are also engaging in SEO work too. As such the provider has zero responsibility for rankings, merely that they will undertake to aid the client in achieving the best rankings and traffic flow possible within a constantly changing system, commensurate with the budget being worked with. This being accepted the provider undertakes to achieve the best possible results within the scope of works agreed with the client.
2 Scope of Works.
The client acknowledges that the work carried out by the provider is contracted only to provide work commensurate to the agreed upon work. In line with this the provider is free from obligation to undertake work beyond the agreed scope of the agreement with the client. On occasion the provider may choose of their own free will to undertake additional tasks to the benefit of the agreement, though the client agrees to never push or use bullying tactics to push for additional benefit beyond the scope of the agreed services.
The scope of works is to be determined and agreed in full prior to the commencement of services, and prior to payment being received. If the client wishes to make changes to the agreed scope of work post commencement of works, a request is to be made in writing or via email direct with their managing consultant working at the provider. The provider will then assess the request and respond detailing the acceptability of the request. Depending on the service type being fulfilled this may then attract additional fees beyond the initial agreement in order to cover the additional work that would be required.
In addition to this, the client accepts that there are certain industrial secrets which provide the value gained from using the provider in fulfilment of the agreed services. Accordingly, whilst the client is within their rites to request details of the various aspects of the service fulfilment, the provider is under zero obligation to detail any aspects which would place its industrial secrets, strategies and techniques in jeopardy, or that could lead to its competitive ability potentially being harmed.
3 Behaviour
Both parties agree to extend common courtesy for the duration of the agreement. The existence of a positive and nurturing environment and working relationship is fundamental to the parties working together. Infringements of this will be treated seriously. If the client oversteps into unpleasant behaviour warnings will be issued. If after two warnings negative behaviour occurs again the agreement will cease and the client accepts that they will forfeit the value of any incomplete work.
4 Authority
The client recognizes and acknowledges that the provider is the authority in terms of the work being done. The client is coming to the provider for a specialist service, and the client accepts that the word of the provider is final on matters relating to performance regarding the completion of the agreed scope of works.
5 Copywriting
The client accepts in line with the the provider being the authority, that any content created for them, or their clients has been done in such a way as to achieve the best possible results. As such any changes they make are accepted to be their responsibility and they accept that traffic, rankings and conversions may be negatively affected as a result.
In addition to this, if the client wishes to make alterations to the copywriting work of the provider, the client agrees to serve both the unadapted version from the provider as well as the version they have adapted, in order to test which achieves the best result.
5.1 Guidelines for the Project
All materials, keywords and scope requests for copywriting projects are to be agreed in full prior to payment by the client. After the work has commenced the client accepts that changes will be subject to additional fees in line with the expanded scope of the project and requirement for any additional work by the provider.
5.2 Adjustments to the Work
The client in line with the acceptance that the provider is the authority agrees that the work as it is presented following its completion by the provider is the best possible. The provider does undertake to make certain minor adjustments to the completed copywriting work on the grounds of technical accuracy, changes in facts or adjustment of business details prior to handover to the client, and where both parties agree on the changes.
5.3 Intellectual Property
At the point of hand over the client gains the rites to the intellectual property for the work. This said the client still accepts and holds to the earlier condition that if they make any adaptations to the work they are to serve both versions equally to site visitors, and track conversion and interaction metrics, in order to ascertain which version provides the best results. That information is to be shared in full with the author that wrote said content. The client also accepts that whilst they hold the intellectual property, the provider has full permission to use any or all of the work within their portfolio as they (the provider) see fit.
6 Errors And Omissions
Whilst the provider works to yield copywriting that is free of errors and omissions, the client accepts that even with thorough proof reading there may be errors and omissions within the agreed work. The client also accepts that there are cases where the positioning of commas and full stops or periods may seem strange to them. The client accepts that positioning of commas, full stops and periods have clear reasoning and are within the scope of the authority of the provider.
7 Ethical Working
The provider undertakes to aid the client within the scope of the agreed works to achieve improved rankings, increased traffic and better conversions as applicable to the agreed work in a manner which is ethical and within the relevant terms of service for key third party systems as agreed by the client and the provider.
The client agrees that with the provider being the authority in regard to this work, and that the provider is working in the best interest of the client, that the strategies and techniques being employed are the best possible.
8 Payment
The client accepts that payment is to be made in full prior to the commencement of the agreed work, unless agreed prior. The client also accepts that finalised copywriting work will only be transferred once payment has been received in full, regardless of the clients deadlines.
The client also agrees to make payment in the manner stated by the provider. The client undertakes to never attempt to make payment in a manner outside the scope stated by the provider.
8.1 Late Payment & Additional Fees
In the event that alternative payment terms are agreed and payment is late or goes outside the bounds of the agreed terms in some other manner, additional fees will become due. Legal action may also be taken.
9 Timing And Delivery
The provider undertakes to complete all agreed work within the agreed scope in a timely manner. The client accepts that at times due to the work involved and other factors this may at times take longer than expected.
10 Indemnity
The client indemnifies the provider from any claims, including by third parties, in relation to any and all compensation, damages or redress resulting in the use but not limited to written material, content of any type or services provided.
All written content produced by the provider is original, though at times may include quotations from key sources pertinent to the objectives of the work, and the client accepts full responsibility for checking the authenticity and correctness of the work. This includes but is not limited to all research materials and citations.
The client also accepts that certain research materials used in connection with the provision of on-page SEO work, psychology and advanced linguistics are to be regarded as industrial secrets to which they have zero access. Other materials in connection with the information shared within the content and citation sources will be available on request.
The client agrees that to indemnify the provider from all compensation, loss and damages.
Acceptance
In engaging the services of the provider the client accepts and agrees to these terms and conditions in full.
